Update on proposed member resolution - 2026 Special General Meeting

Dear Members,

We want to update you about a proposed resolution submitted for consideration at Equestrian Australia’s Special General Meeting on 18 November 2026.

EA respects the right of members to bring forward resolutions. We also need to ensure that any resolution put to members meets the requirements of the EA Constitution and the law.

When we reviewed the proposed resolution and supporting documents, we found a number of issues that needed to be resolved. These included:

  • different versions of the proposed resolutions;
  • uncertainty about whether it was intended for the AGM or SGM;
  • the declaration members were shown and agreed to when signing online was different from the declaration later shown with their signatures on the PDF forms provided to EA;
  • questions about how some electronic signatures and member information had been verified; and
  • parts of the proposed changes did not clearly set out the wording members were being asked to approve.

EA also received concerns from members that personal information, including their residential address, had been pre-populated on the online form. This information was not included in the member register provided by EA, which contained names and email addresses only.

EA wrote to the Member Representative and gave them the opportunity to provide the information and records needed to address these issues and verify the submission.

The Member Representative declined to provide the requested information or respond to the individual issues raised.

EA therefore had to make its decision based on the information available and determined that the submission did not meet the requirements for the proposed resolution to be included as special business at the General Meetings on 18 November 2026.

The proposed resolutions will therefore not be included on the agenda and the Special General Meeting planned for 18 November 2026 will be cancelled.

We recognise that a number of members intended to support bringing constitutional changes forward.

This decision is not about whether EA or the Board agrees or disagrees with the proposed changes. It is about whether this particular submission met the requirements to be put to members at these meetings.

Kind regards,
Board of Directors
Equestrian Australia
