11 December 2025 Equestrian Australia Special General Meeting - SGM Adjournment Questions

Why was the meeting adjourned?

There were not enough voting members in attendance or registered by proxy to form a quorum. 

Under normal circumstances, only 20 voting members are required to constitute a quorum. However, as there is a special motion on the agenda, the quorum is five per cent of the total voting members the day prior to the meeting.

Currently, five per cent of the EA membership equates to approximately 961 voting members. Only 767 members were in attendance at the meeting either in person or by proxy resulting in a shortfall of 194 voting members to form a quorum.

I registered for the first SGM, do I have to register again?

No, your registration has been transferred across to the new meeting on Zoom and you will receive an email from Zoom with the details to join.

I’d now like to attend the SGM. How do I register?

Registrations are open and a separate email from Vero Voting has been sent with instructions on how to vote. EA will need time to process all registered voters ahead of the adjourned meeting at 7pm AEDT on 18 December 2025.

I already submitted a proxy form, do I need to submit a new one?

No, if you submitted a proxy form for the first meeting and it was confirmed valid, the proxy form is still valid for the adjourned SGM. If you have nominated anyone other than the Chairperson as your proxy, please ensure they are able to attend the adjourned meeting. If they are unable to attend the adjourned meeting, your vote will not be included as the proxy must be present. Should your proxy be unable to attend, please log onto Vero Voting and submit a new proxy to ensure your vote is counted.

I would like to submit a proxy form; how do I do this?

All new proxy forms must be submitted by 7pm (AEDT) on 16 December, being 48 hours before the SGM in accordance with the Corporations Act 2001.

Please note, due to the short timeframe to submit proxies for the adjourned meeting, proxy forms submitted outside of the Vero Voting system need to be completed correctly, as there may not be time to confirm they are valid prior to the cutoff time.

What happens if the adjourned meeting on 18 December 2025 does not have a quorum?

If EA is unable to form a quorum at the upcoming meeting, then the meeting will lapse.
