Equestrian Australia AGM: Adjournment Questions & Answers

1. The EA Annual General Meeting was adjourned last night. Why was it adjourned?

There were not enough voting members in attendance or registered by proxy to form a quorum.

Under normal circumstances only 20 voting members are required to constitute a quorum. However as there is a special motion on the agenda 5% of voting members are required.

Currently 5% of the EA membership equates to approximately 820 voting members. Only 580 members pre-registered to attend yesterday’s meeting either in person or by proxy resulting in a shortfall of 240 to form a quorum.

2. When is the AGM adjourned to?

The AGM will now take place on Monday 25th January 2021 at 8pm AEDT.

The EA Constitution sets out timing requirements in the event an AGM is adjourned, and the new date has been scheduled in accordance with these requirements.

3. How will the meeting be held?

The AGM will be conducted virtually using the online Vero Voting platform.

4. What happens to the Voting Members who registered to attend last night’s AGM?

All registrations to attend the AGM, whether in person or by proxy, will automatically carry forward to next Monday’s meeting.

5. I’m now unavailable to attend the AGM next Monday. Can I submit a proxy?

6. Does the AGM agenda change?

Normally no. However, where there is a special motion tabled the voting members who submitted the notice of motion have the opportunity to rescind it.

If this occurs EA will notify all members and supply a new agenda. Subsequently, the quorum conditions would also revert back to those associated with usual business where only 20 voting members are required to constitute a quorum.

7. I’d now like to attend the AGM, but registrations are closed. Will EA re-open the registration period and how can I vote?

Yes. Registrations will re-open from 12pm AEDT Tuesday 19 January 2021.

To participate you can either (1) register to attend the AGM or (2) you can submit a proxy, which enables your nominated delegate to vote on your behalf.

To participate either way you need to register via the Vero Voting portal by 5pm AEDT Friday 22 January 2021. Portal https://EAreg.verovoting.com.au

Once you register, your membership will be confirmed. You will then be sent a link to the AGM portal where you can:

- Review all AGM documents

- Ask questions in advance

- Register your intention to attend the AGM

- Submit a proxy, enabling your nominated delegate to vote on your behalf.

8. What is the timing for this?

EA require all registrations and proxy forms to be submitted before 5pm AEDT Friday 22 January 2021.

This will give EA time to process all registered voters ahead of the adjourned meeting on Monday 25 January. 

9. I submitted a registration after the closing time. Will this now be accepted?

Yes.

10. What happens if the adjourned meeting on Monday 25th January 2021 does not have a quorum?

If EA are unable to form a quorum at the upcoming meeting, then the meeting will lapse. Not only is your vote important to determine the structure and direction of the sport, but your participation enables EA to meet its constitutional and regulatory requirements.
